YOUR ATTENTION IS DRAWN TO CLAUSE 15 OF THESE TERMS WHICH LIMITS OUR LIABILITY TO YOU. YOU SHOULD BE AWARE OF CLAUSE 9.2 (EVENTS BEYOND OUR CONTROL) BEFORE SIGNING THE DISCLAIMER FORM AND AGREEING TO THESE TERMS AND CONDITIONS.

 

COMPETITIVE ACTIVITY CAN BE DANGEROUS AND PHYSICAL EXERTION MAY RESULT IN SERIOUS INJURY.

 

EACH PARTICIPANT MUST PERSONALLY SIGN A DISCLAIMER FORM PRIOR TO YOUR TEAM BEING CONFIRMED AS ENTERED INTO THE COMPETITION.

 

1.        These terms

 

1.1        What these terms cover. These are the terms and conditions on which we will provide a fitness competition in the search for Great Britain’s fittest team of four men and four women (“Urban Team GB”).

 

1.2        Why you and your team should read them. Please read these terms, alongside the Disclaimer Form (see clause 1.3), carefully before the submission of a team to us. These terms tell you and the team who we are, how we will provide Urban Team GB to you, how you and us may change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us to discuss.

 

1.3        Disclaimer Form. The Disclaimer form found at https://www.urbanteam.co.uk/disclaimer-form/ must be personally signed by each team member.

 

2.        Information about us and how to contact us

 

2.1        Who we are. Urban Team GB LTD, Company Registration Number 11526167 is a UK registered company incorporated under the Companies Act 2006 as a private company, that the company is limited by shares, and the situation of its registered office is in England and Wales. Our trading address is Berkeley Square House, Berkeley Square, London, W1J 6BD, United Kingdom. References to “we, us and our” means Urban Team.

 

2.2        How to contact us. You can contact us by telephoning our office at +44 (0) 20 3911 8454 or by writing to us at hello@urbanteam.co.uk or at Berkeley Square House, Berkeley Square, London, W1J 6BD, United Kingdom.

 

2.3        How we may contact you. If we have to contact you we will do so by telephone or by writing to you at the email address or postal address you provided to us on your team submission.

2.4        "Writing" includes emails. When we use the words "writing" or "written" in these terms, this includes emails.

 

3.        Our contract with you

 

3.1        How we will accept your team submission. Our acceptance of your team submission will take place when we email you to accept it, at which point a contract will come into existence between you and us. Places are limited and decided on a first come, first served basis and until we accept your team submission and you have made payment in full, your team does not have a place on Urban Team GB. The Disclaimer Form and these terms make up the contract between us. No other terms shall apply.

 

3.2        If we cannot accept your team submission. If we are unable to accept your team submission, we will inform you of this and will not charge you the entry fee for Urban Team GB and/or we will refund you. This might be because there are no more entry slots, because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or you team does not meet satisfy our the rules of Urban Team GB.

 

3.3        Your team number. We will assign a team reference number to your team and tell you what it is when we accept your team submission. It will help us if you can tell us the team reference number whenever you contact us about your team.

 

3.4        UK only. Our website is solely for the promotion of Urban Team GB in the UK. Unfortunately, we do not accept team submissions from addresses outside the UK.

 

4.        Urban Team GB

 

4.1        Urban Team GB activities. The activities set out on our website may vary from that depicted and stated, as we may require from time to time throughout Urban Team GB.

 

4.2        Urban Team GB the route to the final. Urban Team GB will hold 32 qualifying regional events across Great Britain (limited to 48 teams per qualifying regional event). Each qualifying regional event will consist of three events, whereby the top 16 teams qualify for the semi-finals and then the top eight teams of the semi-finals will qualify for the final.

 

4.3        Urban Team GB prize. If you are successful, the top eight teams in the final will compete for the chance to win £25,000 (first place team), £10,000 (second place team) and £5,000 (third place team). Each prize will be split equally between all team members. Once paid, our responsibility to you and your team shall end. The prize will be paid into an account that you notify us of. It is essential that you provide the correct details. We will not be responsible if you have provided incorrect details.  

 

5.        Urban Team Rules.  

 

5.1        A copy of the rules can be found at [https://www.urbanteam.co.uk/rules/] in addition to the below.

 

5.2        In order to participate in Urban Team GB you must submit a complete a full team form (along with the entry fee), including true and accurate details for each team member. In order to compete at Urban Team GB:

 

(a)        your team will be made up of four men and four women;

(b)        each member of the team will be over 21 years old on the 1st August 2019;

(c)        each member of the team holds a valid passport (which sufficient time  remaining before expiry in order to travel);

(d)        each member of the team is permitted to travel to the United States of America on a tourist visa;

(e)        each member of the team is able to fully compete in all of the exercises listed on our website (www.urbanteam.co.uk) and in any other exercise(s) we include at Urban Team GB;

(f)        each team member must sign and send us a completed Disclaimer Form;

(g)        during Urban Team GB each team member must wear:

(i)        an Urban Team t-shirt;

(ii)        either all black or all white shorts;

(iii)        appropriate footwear; and

(iv)        other appropriate sports clothing.  

(h)        will have a nominated team captain during Urban Team GB, the team captain shall receive a full briefing on the day of each Urban Team GB round of competition. It is the team captain’s responsibility to inform their team of the details stated during the briefing; and

(i)        at each Urban Team GB event your team will check-in with the appropriate officials no later than one hour prior to the start time of the event. Failure to do so will result in disqualification.    

 

5.3        Excluded entrants. Professional athletes are not permitted to register for Urban Team GB. We consider a professional athlete as anyone that is or has been in the last 5 years been paid, sponsored, received grants or funding from a sporting organisation including but not limited to National Lottery or Sport England to compete in any form of professionally regulated sport worldwide.

 

6.        Filming, sound recording and photography

6.1        During Urban Team GB, we may film or photograph any or all of the event. We may film or photograph you or any member of your team whilst participating. This may be incidental or actually focusing on you or your team. As part of the Disclaimer Form, you agree for us to do so and to use such images or footage for legitimate purposes. “Legitimate purposes” means any promotion, marketing or post-event updates (for example, showing the winning team from such event or publicising future events on our website).

 

6.2        Any footage or images shall be the sole property of Urban Team Global Limited and you may not copy or re-use any of the photographs or footage without our express consent as they are protected by copyright.

 

7.        Your rights to make changes to your team submission for Urban Team GB.

 

7.1        If you wish to make a change to the team submission prior to an Urban Team GB event you are only permitted to do so if the individual being replaced is injured, ill or unavailable to attend.

 

7.2        Such a change to the team submission must be made in writing, along with the requested documented identification by Urban Team for the replacement individual, no later than one working day prior to the start of the Urban Team GB event the team will be participating in. We will let you know if the change is possible.

 

7.3        Urban Team have the right to refuse any change(s) to a team submission.

 

8.        Our rights to make changes

 

8.1        Minor changes to Urban Team GB. We may change Urban Team GB:

(a)        to reflect changes in relevant laws and regulatory requirements; and  

(b)        to implement minor technical adjustments and improvements, for example to address a security threat. These changes will not affect your use of the product.

 

8.2        More significant changes to Urban Team GB and these terms. In addition, as we informed you in the description of Urban Team GB on our website, we may make reasonably necessary changes to Urban Team GB, but if we do so we will notify you and you may then contact us to end the contract before the changes take effect and receive a refund when you are yet to participate in Urban Team GB.

 

8.3        If it is possible we will let you know about any changes to the price of the entry fee, the timing Urban Team GB event or anything else which would be necessary as a result of a change and ask you to confirm whether you wish to go ahead with the change. If the consequences of making the change are unacceptable to you, you may want to end the contract (see clause 10- Your rights to end the contract).

 

9.        Providing Urban Team GB events

 

9.1        Providing the event. We will begin the event(s) on the date we state to you in writing, following acceptance of your team’s entry to Urban Team GB.  

 

9.2        We are not responsible for delays outside our control. If an Urban Team GB event is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund when we have been unable to provide the qualifying regional event that your team is categorised to participate at. The types of event likely to impact or delay Urban Team GB are (not an exhaustive list):

 

(a)        failure or interruption in electricity, water or other utility services or supplies;

(b)        failure or disruption of any transport network affecting your attendance or our ability to get to the venue;

(c)        act of God, flood, snow, storm, earthquake or other natural disaster;

(d)        vandalism or malicious damage to the venue;

(e)        collapse of buildings, fire, explosion or accident;

(f)        non-performance by suppliers or subcontractors.

 

9.3        What will happen if you do not give required information to us. We may need certain information from you or your team members so that we can provide Urban Team GB, for example, personal details, payment details and contact details. If so, this will have been stated in the description of Urban Team GB on our website. We will contact you to ask for this information. If you do not give us this information within a reasonable time of us asking for it, or if you give us incomplete or incorrect information, we may either end the contract (and clause 12.2 will apply) or make an additional charge of a reasonable sum to compensate us for any extra work that is required as a result. We will not be responsible for supplying the Urban Team GB event late or not supplying any part of the activities if this is caused by you not giving us the information we need within a reasonable time of us asking for it.

 

9.4        Reasons we may suspend Urban Team GB. We may have to suspend Urban Team GB to:

(a)        deal with technical problems or make minor technical changes;

(b)        update Urban Team GB to reflect changes in relevant laws and regulatory requirements;

9.5        Your rights if we suspend Urban Team GB. We will contact you in advance to tell you we will be suspending Urban Team GB, unless the problem is urgent or an emergency. You may contact us to end the contract if we suspend it, or tell you we are going to suspend it, in each case for a period of more than 10 days and we will refund any sums you have paid in advance for Urban Team GB where you and your team are yet to compete in the first qualifying regional event.

 

9.6        We may also suspend Urban Team GB to you and your team if you do not pay. If you do not pay us for entry to Urban Team GB (for example, your payment is subsequently declined or “clawed back”) (see clause 14.4) and you still do not make payment within 5 days of us telling you that payment is due, we may suspend you and your team’s entry to Urban Team GB until you have paid us the outstanding amounts. We will contact you to tell you we are suspending you and your team’s entry. As well as suspending you and your team’s entry we can also charge you interest on your overdue payments (see clause 14.5).  

 

10.        Your rights to end the contract

 

10.1        You can always end your contract with us. Your rights when you end the contract will depend on how we are performing and when you decide to end the contract:

 

(a)        If Urban Team GB is mis-described you may have a legal right to end the contract (or to get some or all of your money back), see clause 13;

(b)        If you want to end the contract because of something we have done or have told you we are going to do, see clause 10.2;

(c)        If you have just changed your mind about entering Urban Team GB, see clause 10.3. You may be able to get a refund if you are within the cooling-off period, but this may be subject to deductions;

(d)        In all other cases (if we are not at fault and there is no right to change your mind), see clause 10.6.

 

10.2        Ending the contract because of something we have done or are going to do. If you are ending a contract for a reason set out at (a) to (e) below the contract will end immediately and we will refund you in full if you have not yet attended Urban Team GB or it is yet to take place. The reasons are:

 

(a)        we have told you about an upcoming change to event or these terms which you do not agree to (see clause 8.2);

(b)        we have told you about an error in the price of the entry fee and you do not wish to proceed;

(c)        there is a risk that Urban Team GB may be significantly delayed because of events outside our control;

(d)        we have suspended Urban Team GB for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than 10 days; or

(e)        you have a legal right to end the contract because of something we have done wrong.

 

10.3        Exercising your right to change your mind (Consumer Contracts Regulations 2013). For most services bought online you have a legal right to change your mind within 14 days and receive a refund. These rights, under the Consumer Contracts Regulations 2013, are explained in more detail in these terms.

 

10.4        When you don't have the right to change your mind. You do not have a right to change your mind in respect of where you and/or your team have competed in the first qualifying regional Urban Team GB event even if the cancellation period is still running.

 

10.5        How long do I have to change my mind? You have 14 days after the day we email you to confirm we accept your team submission or if the first qualifying regional Urban Team GB event you and your team are registered to participate in is sooner than 14 days then you have up to one working day before the qualifying regional Urban Team GB event to change your mind. However, once we have competed or it is less than one working day before the first qualifying regional Urban Team GB event you cannot change your mind, even if the period is still running. If you cancel after participating you are not entitled to a refund.

 

10.6        Ending the contract where we are not at fault and there is no right to change your mind. Even if we are not at fault and you do not have a right to change your mind (see clause 10.1), you can still end the contract before it is completed, but you may have to pay us compensation. Urban Team GB is completed when we have finished providing Urban Team GB or you and your team are eliminated (or, if applicable, disqualified) from Urban Team GB.

 

10.7        If you want to end a contract before it is completed where we are not at fault and you have not changed your mind, just contact us to let us know. The contract will end immediately and if possible we may refund any sums paid by you for Urban Team GB not provided but we may deduct from that refund (or, if you have not made an advance payment, charge you) reasonable compensation for the net costs we will incur as a result of your ending the contract.  

 

11.        How to end the contract with us (including if you have changed your mind)

 

11.1        Tell us you want to end the contract. To end the contract with us, please let us know by doing one of the following:  

(a)        Phone or email. Call our office on +44 (0) 20 3911 8454 or email us at hello@urbanteam.co.uk. Please provide your name, home address, details of the team and, where available, your phone number and email address.  

 

11.2        How we will refund you. We will refund you the price you paid for the entry fee, by the method you used for payment. However, we may make deductions from the price, as described below.

 

11.3        When your refund will be made. We will make any refunds due to you as soon as possible. If you are exercising your right to change your mind then your refund will be made within 14 days of your telling us you have changed your mind

 

12.        Our rights to end the contract

 

12.1        We may end the contract if you break it. We may end the you and your team’s entrance to Urban Team GB at any time by writing to you if:

(a)        your payment has been declined, rejected or subsequently “clawed back” and you do not make payment within 5 days of us telling you that payment is due;

(b)        you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to allow participation, for example, contact details or payment details;

(c)        you do not, within a reasonable time, allow us to deliver Urban Team GB; or

(d)        it is discovered that you have enlisted a professional athlete in contravention of the rules;

(e)        you have cheated on any of the exercises;

(f)        you or any member of your team is aggressive or intimidating to another team or any of the Urban Team staff; or

(g)        you break any other rules prior to or on the date of Urban Team GB.

 

12.2        You must compensate us if you break the contract. If we end the contract in the situations set out in clause 12.1 we will refund any money you have paid in advance if we have not delivered Urban Team GB but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.

 

12.3        We may withdraw Urban Team GB. We may write to you to let you know that we are going to stop providing Urban Team GB. We will let you know at least 3 days in advance of our stopping Urban Team GB and will refund any sums you have paid in advance for Urban Team GB if the first qualifying regional event is not provided.  

 

13.        If there is a problem with Urban Team GB.

13.1        How to tell us about problems. If you have any questions or complaints about the product, please contact us. Alternatively, please speak to one of our staff on +44 (0) 20 3911 8454.

 

13.2        Summary of your legal rights. We are under a legal duty to supply Urban Team GB that is in conformity with this contract. Nothing in these terms will affect your legal rights. For detailed summary of your key legal rights please visit the Citizens Advice website www.adviceguide.org.uk or call 03454 04 05 06.

 

14.        Price and payment

 

14.1        Where to find the price for Urban Team GB. The entry fee for Urban Team GB (which includes VAT or other taxes (if applicable)) will be the price indicated on the order pages when you submit your team. We take all reasonable care to ensure that the price of Urban Team GB advised to you is correct. However please see clause 14.3 for what happens if we discover an error in the price.  

 

14.2        We will pass on changes in the rate of VAT (if VAT is applicable). If the rate of VAT changes between your order date and the date we supply Urban Team GB, we will adjust the rate of VAT that you pay, unless you have already paid for the product in full before the change in the rate of VAT takes effect.

 

14.3        What happens if we got the price wrong. It is always possible that, despite our best efforts, Urban Team GB is incorrectly priced. We will normally check prices before accepting your team submission so that, where the Urban Team GB's correct price at your team’s submission date is less than our stated price at your team submission date, we will charge the lower amount. If the Urban Team GB's correct price at your team submission date is higher than the price stated to you, we will contact you for your instructions before we accept your team submission. If we accept and process your team submission where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mis pricing, we may end the contract, refund you any sums you have paid.

 

14.4        When you must pay and how you must pay. We accept payment with through Skrill or Paysafe: You must pay the whole entry fee, in full clear funds, prior to the submission of your team to us.  

 

14.5        We can charge interest if you pay late. Payment is due on the date of submission of your team. However, if your payment is declined, rejected or subsequently “clawed back” and you do not make payment within 5 days of us notifying you to do so, we may charge interest to you on the overdue amount at the rate of 4% a year above the base lending rate of Barclays Bank Plc from time to time. This interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You must pay us interest together with any overdue amount.

 

15.        Our responsibility for loss or damage suffered by you

 

15.1        We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen.

 

15.2        We do not exclude or limit in any way our liability to you or a team member where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your or a team member’s legal rights in relation to Urban Team GB including the right to participate at the event as described and match information we provided to you; the Urban Team GB is of satisfactory quality; that Urban Team GB is supplied with reasonable skill and care and any defective service in providing Urban Team GB under the Consumer Protection Act 1987.

 

15.3        When we are liable for damage to you or a team member’s property. We are not responsible for the cost of repairing faults or damage to your property as a result in participation in Urban Team GB.

 

15.4        We are not liable for business losses. We only supply Urban Team GB to consumers and not in a business capacity. If you are entering Urban Team GB for any commercial, business, we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

 

16.        How we may use your personal information

 

16.1        How we may use your personal information. We will only use your personal information as set out in our privacy policy

 

17.        Other important terms

 

17.1        We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

 

17.2        You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing and subject to clause 7.2. We hold the right where reasonable or as required under these terms or by law to refuse. Where your rights are transferred, the other person shall be required to comply with these terms in order to participate in Urban Team GB, in particular see clause 5.2. Any new party to this arrangement shall be subject to the requirements set out above.

 

17.3        Nobody else has any rights under this contract (except someone you pass your guarantee on to). This contract is between you and us. No other person shall have any rights to enforce any of its terms, except as explained in clause 17.2.

 

17.4        If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

 

17.5        Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you do not make payment and we do not chase you but allow you entry to Urban Team GB, we can still require you to make the payment at a later date.

 

17.6        Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.

 

17.7        Alternative dispute resolution. Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how we have handled any complaint, you may want to contact the alternative dispute resolution provider we use. You can submit a complaint to ADR Group via their website at http://www.consumer-dispute.co.uk/. ADR Group will not charge you for making a complaint and if you are not satisfied with the outcome you can still bring legal proceedings.
